1. Acceptance of Terms

Welcome to Kunming Lishidong Information Technology Co., Ltd. ("KLSID Tech"). By accessing or using our website or services, you agree to be bound by these Terms.

2. Definitions

"Services" refers to all computer systems design, integration, and consulting services. "Service Agreement" is a separate written agreement for specific engagements. "Confidential Information" means non-public information. "Intellectual Property" includes patents, copyrights, and proprietary methodologies.

3. Services and Engagement

3.1 Services are provided as described on our Site and in individual Service Agreements. 3.2 Each engagement will be governed by a separate Service Agreement.

4. Client Obligations

You agree to provide accurate information, cooperate in good faith, and not use our services for unlawful purposes.

5. Intellectual Property Rights

Each party retains pre-existing IP rights. Upon full payment, you receive a non-exclusive license to use deliverables. We retain rights to our proprietary tools and methodologies.

6. Fees and Payment

Fees are set forth in the Service Agreement. Overdue amounts may incur interest.

7. Confidentiality

Both parties agree to hold Confidential Information in strict confidence. Obligations survive termination for five years.

8. Warranties

We warrant services will be performed professionally. Except as expressly stated, services are provided "AS IS."

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLSID TECH SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING 12 MONTHS.

10. Indemnification

You agree to indemnify KLSID Tech against claims from your breach of these Terms.

11. Termination

Either party may terminate a Service Agreement according to its terms.

12. Governing Law

These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through arbitration in Kunming under CIETAC rules.

13. Website Use

All content is our property and protected by intellectual property laws.

14. Force Majeure

Neither party is liable for delays due to causes beyond reasonable control.

15. Entire Agreement

These Terms together with any Service Agreement constitute the entire agreement.

16. Changes to Terms

We may modify these Terms. Changes are effective upon posting.
